Terms of Use (license terms)

These Terms set out the license conditions for the Windows tray reminder app “LastCall” (the “Software”) provided by Ryusudo (“we” or “us”). By installing or using the Software, you are deemed to have agreed to these Terms.

Summary: The Free edition may be used free of charge, whether by individuals or organizations. Using the paid (Enterprise) features requires a license key. The Software is provided as is, and we accept no liability to the extent permitted by law.

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable right to use the Software.

In using the Software, you must not:

4Intellectual property

Copyright and other intellectual property rights in the Software and its logo and name belong to us or the rightful owners. Except for the rights expressly granted, these Terms transfer no rights to you.

5Paid license and payment

Payment, billing, and receipt issuance for the paid edition are handled by Lemon Squeezy, our Merchant of Record. Lemon Squeezy's terms and displayed conditions apply at purchase. Refunds follow the support policy and Lemon Squeezy's terms.

For contract-based provision to public agencies, large enterprises, and the like, the conditions of a separately concluded contract or memorandum take precedence over these Terms.

6Third-party services

7No warranty

The Software is provided as is. We do not warrant that the Software will fit your particular purpose, operate without interruption or error, or produce any particular result. The availability and specification changes of third-party services (Lemon Squeezy, Microsoft 365, etc.) are likewise outside the scope of any warranty.

8Limitation of liability

To the extent permitted by law, we accept no liability for any damages (including loss of data, lost profits, or business interruption) arising from your use or inability to use the Software. Even where we are liable under applicable law, our total liability shall be capped at the amount you paid us in relation to the matter concerned.

9Changes to these Terms

We may revise these Terms in response to feature additions, changes in law, and the like. For material changes, we will post a notice on this page and update the last-updated date. If you continue to use the Software after a revision, you are deemed to have agreed to the revised Terms.

10Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising between us and you regarding the Software or these Terms shall be subject to the exclusive jurisdiction of the Japanese court having jurisdiction over our location as the court of first instance.
